Merchant Partner Terms & Conditions

Effective date: 17 September 2026

These terms apply to every store, pharmacy and restaurant (the “Merchant”) that lists and sells on the sabCheej platform (the “Platform”), operated by Trackbes Technology (“sabCheej”, “we”). They sit alongside the onboarding agreement signed with each Merchant, which states the commission rate and payout cycle. Customers are covered by the Terms of Use. Questions? Merchant Compliance

The Merchant shall maintain and comply with all applicable licenses, registrations, permits, approvals, GST registration (where applicable), FSSAI licence (for food businesses) and other statutory requirements under applicable law. The Merchant shall promptly inform sabCheej of any suspension, cancellation, expiry or non-renewal of such approvals.

Product Quality & Legality

The Merchant shall ensure that all products supplied through the Platform are genuine, safe, fresh, lawful, fit for their intended use, and compliant with applicable laws, regulations and quality standards.

Prohibited Products

The Merchant shall not sell, supply or offer any expired, damaged, adulterated, counterfeit, stolen, illegal, restricted or otherwise prohibited product. A violation may result in penalties, suspension, termination and legal action.

Inventory Accuracy

The Merchant shall keep inventory records and product availability accurate on the Platform. Repeated stock unavailability, inaccurate listings, misleading descriptions or avoidable cancellations may result in penalties or suspension.

Order Fulfilment & Verification

The Merchant shall verify, pack and fulfil each order exactly as placed by the customer, and shall be responsible for wrong products, unapproved substitutions, items missed while packing, short quantities, incomplete orders or inaccurate product descriptions. Replacements offered through the Platform's substitution flow and accepted by the customer are not a breach of this clause.

Packaging Standards

The Merchant shall pack every product securely and hygienically, properly sealed, leak-proof where applicable, and suitable for safe transport and delivery — or, for in-store pickup, for safe hand-over at the counter.

Handover Verification

Before handing an order to a Delivery Partner (or to the customer at the counter for an in-store pickup), the Merchant shall ensure mutual verification of the order details and item count, and shall verify the customer's 4-digit pickup code where applicable. Any discrepancy identified before verified handover remains the responsibility of the Merchant. Packing-proof photos uploaded through the Platform form part of the handover record.

Merchant Liability

The Merchant remains solely responsible for product quality, authenticity, legality, storage conditions, labelling compliance and customer complaints arising from product-related issues.

Refunds, Returns & Compensation

Any refund, return, replacement, compensation or customer claim arising from Merchant error or a product-related issue shall be borne by the Merchant and may be adjusted against settlements.

Delivery Responsibility

sabCheej shall be responsible only for delivery-related issues occurring after verified pickup from the Merchant and before successful delivery to the customer, subject to investigation and dispute resolution. For in-store pickup orders there is no delivery leg, and hand-over responsibility rests with the Merchant.

Settlement

Merchant payments shall be settled within 24–48 hours or such period as sabCheej determines, subject to deductions for refunds, returns, disputes, penalties, taxes, chargebacks or other adjustments. Cash collected by the Merchant directly from a customer (cash on delivery for a self-delivered order, or cash at the counter for an in-store pickup) is netted against the settlement due. Commission rates and the payout cycle are stated in the onboarding agreement and in the Merchant's earnings screen.

Pricing Policy

The Merchant shall not charge more than the Maximum Retail Price (MRP) where applicable, nor more than the price displayed on the Platform, without prior approval from sabCheej.

Tax Compliance

The Merchant is solely responsible for all applicable taxes, duties, levies, filings and statutory obligations arising from its business operations.

Customer Data Protection & Non-Circumvention

The Merchant shall not store, misuse, disclose, sell, transfer, share or exploit customer information obtained through the Platform, nor contact such customers outside authorised business purposes (preparing and handing over their order), nor encourage customers to transact outside the Platform. The Merchant shall handle customer information in line with the sabCheej Privacy Policy.

Fraud, Misconduct & Penalties

Any fraudulent activity, fake orders, manipulation of records, false claims, intentional shortages, counterfeit goods or misrepresentation constitutes a material breach. sabCheej may issue warnings, impose penalties, withhold settlements, suspend services, recover losses or terminate the Merchant account.

Inspection & Audit Rights

sabCheej reserves the right to verify licences, inspect records, review fulfilment practices, conduct quality checks and audit Merchant operations at any reasonable time.

Dispute Resolution & Limitation of Liability

sabCheej has the right to investigate complaints, disputes, refund requests and policy violations. Decisions based on available records, invoices, packing-proof photographs, delivery and pickup confirmations, Platform data and other evidence are binding. To the maximum extent permitted by law, sabCheej's liability shall not exceed the value of the concerned order or transaction.

Force Majeure & Amendments

Neither Party is liable for delays or failures caused by events beyond its reasonable control, including natural disasters, strikes, riots, pandemics, government actions, internet outages or power failures. sabCheej may amend these Terms from time to time; the current version is published on this page with its effective date, and continued use of the Platform constitutes acceptance of the revised Terms.

Suspension, Termination, Governing Law & Jurisdiction

sabCheej may suspend or terminate a Merchant account immediately for fraud, violation of law, customer-safety concerns, expired licences, repeated policy breaches or conduct harmful to the Platform. These Terms are governed by the laws of India, and disputes are subject to the jurisdiction of the competent courts at the place where Trackbes Technology is registered.
